Welcome to the website (“Denta Website”), which is the exclusive property of Mantra Pharma Inc. The products and services appearing on the Denta Website are made available by Mantra but are administered and distributed by a third-party service provider (the “Service Provider”). Mantra reserves the right to change Service Providers at any time without notice.

These conditions of sale (the “Conditions of Sale”) govern the contract entered into by you and the Service Provider in connection with the sale of products via the Denta Website.

Before making payment, please make sure that you have fully read and understood these Conditions of Sale. By using the Denta Website, you agree to be bound by these Conditions of Sale.

Availability of products and services (the “Products”)

Only persons 18 years of age or older with a residential or business address may place an order.

The Products displayed on the Denta Website are only available for delivery in Canada.

The display of Products on the Denta Website does not guarantee that they will be available at all times. In case of delivery-related difficulties or if Products are no longer in stock, the Service Provider reserves the right to propose replacement Products of the same or greater value. If you do not wish to order these replacement Products, the Service Provider will refund any amounts you have already paid.

Order process

Once you have placed your order, you will receive a confirmation email. A contract is then in effect between you and the Service Provider.

Under exceptional circumstances, the Service Provider may be unable to fill the order you placed. The Service Provider therefore reserves the right to reject an order after it was received, even if the order confirmation email was already sent out. The Service Provider will reimburse you within a reasonable amount of time. Neither the Service Provider nor Mantra may be held liable to you or to any third party due to the inability to fill an order.

Delivery and delays

Subject to the availability of the Products ordered or to a potentially rejected order, the Service Provider will exercise due diligence in accepting your order and will take the necessary steps to deliver the ordered Products within a timeframe corresponding to the delivery option selected when you made your purchase.

For exceptional reasons, there may be a delay in the delivery date and the Service Provider may reserve the right not to deliver within the stated timeframe. These reasons may include unforeseen circumstances relating to acts of God (force majeure), the specific features of certain Products or difficulties with the delivery address. Neither the Service Provider nor Mantra shall be held liable for the failure to honour their contractual obligations due to force majeure, as set out in the Civil Code of Québec.

Applicable prices and guarantees

The prices of the Products displayed on the Denta Website are indicated in Canadian dollars, plus applicable taxes. The delivery fees, as applicable, will be added to the total price when you pay for your order.

The Civil Code of Québec and the Consumer Protection Act set out legal guarantees with respect to the Products sold. These legal guarantees apply to all sales carried out on the Denta Website.

Although it is essential for Mantra to provide accurate and appropriate information on the Denta Website, Mantra cannot guarantee that the Denta Website will be continually updated. The content, therefore, is provided on an “as is” basis, with no guarantees. If a displayed Product does not match its description, you may return it in its original condition to the Service Provider, which will then reimburse you.

Payment methods

You may pay for any Product using a valid credit card. You agree to cover the total cost plus the fees relating to the purchased Product (including taxes) in a single payment. The Service Provider reserves the right to check the validity of the credit card you are using and the related information. Therefore, an order may be rejected if the information provided cannot be verified.

You may pay for your items using a credit card (via Shopify) or directly from your PayPal account. The Service Provider reserves the right to check the validity of your account. Neither the Service Provider nor Mantra may be held liable for payment problems relating to the operation of the electronic payment service.

Return and refund policy

If you are not entirely satisfied, you may return a Product you have purchased within 30 days of the delivery date.

Once the Service Provider confirms that your order has been shipped, you have 30 days to request a refund. In that case, the Service Provider will refund the entire purchase price, in accordance with the return terms and conditions, less shipping and handling charges.

Once Products have been delivered, the liability for them is transferred to you. Therefore, Products must be returned to us in the same condition in which you received them. Products must not be soiled, open, damaged or altered. To obtain a full refund, you must also return all instructions and documents included in the order. In the case of edible Products, if they were consumed after a reasonable period of time had elapsed, Mantra reserves the right to reject the refund request or to only refund a portion of the Product sold.

All Products returned to us must be sent using a properly stamped parcel, at your expense, to the following address: 3344 Chemin Ste-Foy, Quebec City, Quebec, Canada G1X 1S5. You are also responsible for covering the return costs, which cannot be refunded by Mantra or the Service Provider.

Limited liability

Neither Mantra nor the Service Provider may be held liable to you for any damages, losses or claims, whether indirect, punitive, special, exemplary, incidental, consequential or of any other similar nature in the event that you ordered a Product or used the Denta Website.

Intellectual property rights

All the content displayed or otherwise accessible on the Denta Website is protected by legislation governing copyright and trademarks and is owned by Mantra.

Use of the content on the Denta Website for commercial purposes is strictly prohibited without Mantra’s written consent.

Use and communication of your personal information

In carrying out its mission, Mantra makes a priority of respecting your confidentiality and privacy. For further information on the applicable provisions for managing your confidentiality when visiting the Denta Website, please consult our Confidentiality Policy .

When you click on a link to a third-party website, Mantra also advises that you read that website’s confidentiality policy before disclosing any personal information.

The Denta Website performs an informational and educational function only and is not designed to provide medical advice or to replace a healthcare professional’s medical opinion. You are not advised to rely on the information provided in the Denta Website, nor should you act or fail to act based on said information. You should never ignore a healthcare professional’s advice or refrain from consulting a healthcare professional based on information provided in the Denta Website.

General provisions

Invalid/illegal clause. If a clause of these Conditions of Sale is deemed invalid or illegal by a court or other body, the other clauses shall remain in effect and shall continue to apply.

Transfer of rights and obligations. The contract entered into when making an online purchase via the Denta Website is solely binding on the Service Provider, yourself and your respective heirs and assigns. You may not transfer or assign this contract without the Service Provider’s prior written consent. However, the Service Provider and Mantra both reserve the right to assign the contract or to assign an obligation or a right arising from the contract.

Laws and jurisdiction. All contracts entered into via the Denta Website are governed by the applicable laws in the Province of Quebec. Any disputes concerning said laws must be brought before the competent courts in the judicial district of Montreal.
